These Terms & Conditions govern use of the Thermometrics Corporation website and summarize the standard terms that apply to Thermometrics quotations, acknowledgements, invoices, and related customer transactions unless Thermometrics agrees otherwise in writing.

1. Scope and Website Use
The Site provides general information about Thermometrics products, services, capabilities, RFQ tools, and scheduling options. The Site is intended for business users, including customers, prospective customers, engineers, buyers, and suppliers.
Website content is provided for general business and technical reference. Product descriptions, materials, dimensions, images, and configuration examples should be confirmed with Thermometrics before they are used for purchasing, design release, safety-critical, or production decisions.
2. Quotations, Orders, and Acceptance
Thermometrics quotations, acknowledgements, invoices, and accepted orders are subject to Thermometrics' standard customer Terms and Conditions unless a different written agreement is accepted by an authorized Thermometrics representative. Customer purchase-order terms that conflict with Thermometrics' terms are not binding unless expressly accepted in writing by Thermometrics.
RFQ submissions through the Site are requests for review and quotation only. They do not create an order, price commitment, delivery commitment, or manufacturing obligation until Thermometrics accepts the order in writing.
3. Customer-Supplied Specifications and Application Data
Customers are responsible for providing accurate and complete specifications, dimensions, drawings, process conditions, operating limits, application requirements, and intended-use information. This includes measurement location, insertion length, lead routing, sheath or housing constraints, environmental exposure, pressure or vibration conditions, certifications, and documentation requirements.
For custom or non-standard products, acceptance of the product design, drawing, quotation, acknowledgement, or shipment may be treated as confirmation that the customer has reviewed the design and determined that it meets the customer's specifications, requirements, standards, and intended application.
Thermometrics assumes no responsibility for the adequacy of customer-provided designs, dimensions, specifications, requirements, or instructions. If a product is built correctly to inaccurate, incomplete, or unsuitable customer-provided information, resulting fit, performance, or application issues are not manufacturing defects.
4. Limited Product Warranty
Thermometrics warrants products against defects in materials and workmanship for one year from the date of shipment, subject to the full customer Terms and Conditions. Products returned transportation prepaid within that period and determined by Thermometrics to be faulty because of defective materials or workmanship may be repaired or replaced at Thermometrics' discretion.
This warranty is intended to cover manufacturing defects. It does not apply to failures or nonconformities caused by customer-supplied incorrect measurements, drawings, specifications, application assumptions, installation constraints, process conditions, mishandling, misapplication, misuse, unauthorized modification, damage in transit after the FOB point, or use outside agreed design parameters.
Products supplied at the customer's request on a best-effort basis for conditions that exceed design specifications may be supplied as-is and without the same warranty protection, as described in the full Terms and Conditions.
5. Exclusive Remedy and Limitation of Liability
The repair or replacement remedy described in the full Terms and Conditions is the sole and exclusive remedy for qualifying warranty claims. Thermometrics is not liable for incidental, consequential, special, indirect, or punitive damages, including loss of use, income, profit, goodwill, injury-related losses, or property damage other than the product itself. In no case shall Thermometrics' liability exceed the price paid for the product at issue.
6. Technical Assistance and Engineering Guidance
Thermometrics may provide technical advice, application guidance, samples, testing input, demonstrations, or configuration suggestions to help customers evaluate products. Such assistance is provided to support customer evaluation and does not replace the customer's responsibility to validate suitability for the intended use.
7. Delivery, Inspection, Returns, and Risk of Loss
Shipment and delivery dates are estimates unless Thermometrics expressly agrees otherwise in writing. Thermometrics is not liable for direct, indirect, special, incidental, or consequential damages caused by missed scheduled shipment dates.
Unless otherwise stated, delivery is FOB Northridge, California, and risk of loss passes according to the applicable Thermometrics sales terms. Customers should inspect shipments promptly. Returns require prior Thermometrics authorization and are subject to Thermometrics' then-current returned-goods policies and procedures.
8. Payment, Taxes, Freight, and Duties
Unless otherwise stated on a Thermometrics quotation, acknowledgement, or invoice, payment terms are net 30 days from invoice. Prices do not include taxes, freight, handling, duties, or similar charges unless expressly stated, and those amounts are the customer's responsibility. Thermometrics may modify payment terms, require advance payment, delay shipment, or cancel an order based on credit status or unpaid obligations.
9. Critical Applications
Thermometrics products are not designed, authorized, or warranted for life-support devices or systems, or other critical applications involving potential risk of death, personal injury, severe property damage, or severe environmental damage, unless Thermometrics expressly agrees in writing to the specific application requirements.
10. Tooling
Tooling developed by Thermometrics for customer-specific products and invoiced to and paid for by the customer may be subject to the tooling ownership, storage, shipment, and reversion provisions in the full Terms and Conditions.
11. Intellectual Property and Site Content
All content on the Site, including text, graphics, logos, images, and software, is the property of Thermometrics Corporation or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without prior written permission.
12. User Submissions
If you submit RFQ details, drawings, specifications, feedback, or other materials through the Site, you authorize Thermometrics to use that information for quotation, engineering review, manufacturing evaluation, order fulfillment, customer support, quality documentation, and related business purposes. Personal information is handled in accordance with our Privacy Policy.
13. Supplier Terms of Purchase
The Terms of Purchase apply to sellers, suppliers, and vendors that provide goods or services to Thermometrics. Those supplier terms are separate from Thermometrics' customer-facing sales terms and should not be read as a customer product warranty.
14. Third-Party Sites
The Site may contain links to third-party websites or services, including Microsoft Bookings. Thermometrics is not responsible for the content, availability, terms, or privacy practices of those third parties.
15. Changes to These Terms
Thermometrics may update these Terms from time to time. If material changes are made, the updated version will be posted on the Site with a revised effective date. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
16. Governing Law
These Terms and the full customer Terms and Conditions are governed by the laws of the State of California unless a different written agreement applies.
